Prosci Beta Program Terms and Conditions

  1. Invitation to Participate. Users, as selected solely by Prosci, are invited to participate in the beta versions of new features and related materials (collectively the “Beta Program”) during the beta testing period as arranged by Prosci. Participation in the Beta Program is voluntary and by participating in the Beta Program, users agree to these terms and conditions. For clarity, no other agreements, if any, between Prosci and the users shall govern the use of the Beta Program, except as otherwise stated by Prosci.
  2. “As Is” Nature of Beta Version. The Beta Program is offered “As Is” and may contain bugs, errors, or other issues. Users acknowledge and agree that their use of the Beta Program is at their own risk and waive any rights and remedies they may have against Prosci with respect to their use of said program.

    ALL WARRANTIES, CONDITIONS, AND REPRESENTATIONS WITH RESPECT TO THE USE OF THE Beta Program, WHETHER EXPRESS OR IMPLIED, ARISING BY LAW, CUSTOM, PRIOR ORAL OR WRITTEN STATEMENTS BY PROSCI, ITS AGENTS, PERSONNEL OR OTHERWISE (INCLUDING, BUT NOT LIMITED TO ANY WARRANTY OF MERCHANTABILITY, SATISFACTION, FITNESS FOR PARTICULAR PURPOSE OR NONINFRINGEMENT) ARE HEREBY EXCLUDED AND DISCLAIMED.

  3. Feedback and Communication. Users of the Beta Program agree to provide timely and honest feedback regarding their experiences in using said program. Prosci may contact participants periodically to obtain such feedback. Users may also be requested to provide testimonials about their use of the Beta Program, which Prosci may use for promotional purposes without prior written consent of users. Any feedback and communications provided to Prosci regarding the use of the Beta Program shall be owned solely by Prosci and users waive all their rights to the same.
  4. No Cost During Beta Period. The Beta Program is provided to users free of charge during the beta testing period. After termination of the beta testing period, Prosci reserves the right to charge a fee for use of the non-beta version of the program.
  5. Termination and Modification. Prosci reserves the right, at its sole discretion, to modify, discontinue, or terminate the Beta Program or any part thereof, at any time and without prior notice of any kind. Upon termination of the beta testing period, access to the Beta Program will be disabled.
  6. Future Charges. Upon termination of the beta testing period, Prosci may charge a fee to use the non-beta version of the program. Users will be notified in advance of such changes and may opt out of incurring the fees. Any such use after termination of the beta testing period, will be governed by other agreements between Prosci and the users.
  7. Intellectual Property. Prosci shall own all rights and interests in all copyrights, trademarks, and all other intellectual property of any kind in the Beta Program. By participating in the Beta Program and except as otherwise stated herein, Users acquire no right, title, or interest, express or implied, in said program, including without limitation, any related intellectual property rights and interests.
